1Agreement to Terms
These Terms of Service constitute a legally binding agreement between you ("Client," "you," or "your") and WP Flora, operating at https://wpflora.com. By using our website or purchasing any of our services, you acknowledge that you have read, understood, and agree to these Terms in full. We reserve the right to update or modify these Terms at any time. Continued use of our services following any changes constitutes acceptance of those changes.
2Services
WP Flora provides the following services (collectively, "Services"):
- WordPress Website Maintenance & Care Plans
- WordPress Speed Optimization & Core Web Vitals Improvement
- Shopify Speed Optimization
- WooCommerce Maintenance & Support
- WordPress Security Services & Malware Removal
- Technical SEO Audits & Implementation
- Custom WordPress Development
- Analytics Tracking (GA4, Facebook Pixel, Server-Side Tagging)
- White-Label WordPress & Agency Services
- Website Design & Development
- One-Off Technical Jobs
The specific scope of work, deliverables, timelines, and pricing for each engagement will be confirmed in writing (via a proposal, invoice, or service agreement) prior to the commencement of any work. Payments serve as confirmation of the agreed scope.
3Account Registration & Eligibility
To purchase Services, you may be required to provide accurate information including your name, email address, billing details, and website information. You represent and warrant that:
- You are at least 18 years of age.
- You have the legal authority to enter into this agreement.
- All information you provide is accurate, complete, and current.
- You will promptly update information as necessary to keep it accurate.
4Payments & Billing
Pricing
All prices are listed in US Dollars (USD) unless otherwise stated. Prices are subject to change. Any changes to pricing for existing subscription plans will be communicated to you with at least 30 days' notice.
Payment Processing
All payments are processed securely through Stripe, Inc. By purchasing our services, you authorize us to charge your designated payment method. You agree to Stripe's Terms of Service available at stripe.com/legal.
Subscription Plans
Monthly maintenance and care plans are billed on a recurring monthly basis. By subscribing, you authorize recurring charges to your payment method. Your subscription will automatically renew each billing period unless cancelled. You may cancel at any time; cancellation takes effect at the end of the current billing period.
Failed Payments
If a payment fails, we will attempt to notify you via email. Services may be suspended if payment is not received within 7 days of the due date. Reinstatement of suspended services may require payment of outstanding balances.
Taxes
You are responsible for any applicable taxes, duties, or levies associated with your purchase. Where required by law, we may collect and remit applicable taxes.
5Client Responsibilities
To enable us to deliver our Services effectively, you agree to:
- Provide timely access to your website, hosting control panel, WordPress/Shopify admin, FTP/SFTP credentials, and any other systems necessary to complete the work.
- Ensure that you have the legal right to grant us access to the systems and content provided.
- Maintain a current backup of your website prior to the commencement of any significant work (where possible, we will also take a backup as part of our process).
- Provide clear, accurate, and timely feedback when required.
- Ensure your website and content comply with all applicable laws and regulations.
- Promptly notify us of any security incidents, unauthorized access, or other events that may impact our work.
6Refunds & Cancellations

Core Web Vitals & Speed Optimization (One-Off Projects)
Our Core Web Vitals and speed optimization services come with a results guarantee, subject to a pre-service infrastructure assessment. If we determine your hosting or infrastructure is unsuitable for passing Core Web Vitals before beginning, we will advise you and may decline the project or recommend an alternative approach. If we fail to deliver the agreed results on an approved infrastructure, you are entitled to a full refund.
Monthly Maintenance & Care Plans
Monthly plans may be cancelled at any time. Cancellations take effect at the end of the current billing period. No partial refunds are issued for unused days within a billing period. A pro-rated refund may be offered at our sole discretion for new subscriptions cancelled within 7 days of the initial payment if no significant work has commenced.
Custom Development & Design Projects
Deposits for custom development and design projects are non-refundable once work has commenced. If you cancel a project in progress, you will be invoiced for the fair value of work completed to date, deducted from any deposits paid.
Disputes
All refund requests must be submitted to hello@wpflora.com within 30 days of the charge in question. We are committed to resolving disputes fairly and promptly.
7Intellectual Property
Our Property
All content on the WP Flora website, including text, graphics, logos, and code (excluding client-supplied materials), is the exclusive property of WP Flora and is protected by applicable copyright, trademark, and other intellectual property laws.
Your Property
You retain full ownership of all content, assets, and intellectual property you provide to us. By engaging our services, you grant us a limited, non-exclusive license to use your materials solely for the purpose of delivering the contracted Services.
Deliverables
Upon receipt of full payment, all custom deliverables created specifically for your project (e.g., custom theme code, custom plugins) will be assigned to you. Any third-party components (themes, plugins, stock assets) remain subject to their respective licenses.
8Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the course of the engagement. We will not share your login credentials, business data, or proprietary information with third parties except as necessary to deliver our Services (e.g., sharing access with a contracted developer working under our supervision under equivalent confidentiality obligations) or as required by law.
9Warranties & Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, EXCEPT WHERE SPECIFICALLY STATED (SUCH AS OUR CORE WEB VITALS RESULTS GUARANTEE). TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING:
- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
- WARRANTIES THAT SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
- WARRANTIES REGARDING THE ACCURACY OR COMPLETENESS OF ANY INFORMATION WE PROVIDE.
We do not warrant or guarantee specific rankings, traffic, or revenue outcomes from SEO or optimization services, as these depend on factors outside our control (e.g., search engine algorithm changes, hosting quality, third-party plugins).
10Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WP FLORA, ITS OFFICERS, DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, or data.
- Loss of business or business opportunities.
- Loss of goodwill.
- Website downtime or data loss caused by factors beyond our control.
- Third-party actions or service failures (hosting providers, plugin authors, etc.).
IN ANY CASE, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO US IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE CLAIM.
11Indemnification
You agree to indemnify, defend, and hold harmless WP Flora and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of our Services; (b) your violation of these Terms; (c) your violation of any applicable law or third-party rights; or (d) content or materials you provide to us.
12Termination
Either party may terminate the service agreement:
- By You: Cancel your subscription or project at any time by contacting us. Refer to Section 6 for refund eligibility.
- By Us: We reserve the right to suspend or terminate Services immediately, without prior notice, if you breach these Terms, engage in fraudulent or illegal activity, or fail to pay outstanding invoices.
Upon termination, all outstanding fees become immediately due and payable. Sections 7, 8, 10, 11, and 13 survive termination.
13Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with applicable law. We encourage you to contact us first to resolve any disputes informally.
For unresolved disputes, both parties agree to attempt resolution through good-faith negotiation. If negotiation fails, disputes may be submitted to binding arbitration. Nothing in this section prevents either party from seeking injunctive or other equitable relief.
14Prohibited Uses
You agree not to use our services or website to:
- Violate any applicable local, state, national, or international law or regulation.
- Engage in any fraudulent, deceptive, or misleading activity.
- Infringe upon the intellectual property rights of others.
- Transmit malware, viruses, or any other harmful code.
- Attempt unauthorized access to any portion of our systems.
- Harass, abuse, or harm another person.
15Severability & Entire Agreement
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect. These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and WP Flora with respect to the Services and supersede all prior agreements and understandings.
